I.
Předmět této Smlouvy
Prodávající se touto Smlouvou zavazuje dodat kupujícímu motorové vozidlu tovární značky Porsche 911 GT3 RSR, VIN: WP0ZZZ11Z8S735541 (dále též „Vozidlo“) a náhradní díly k Vozidlu, které jsou blíže specifikovány v příloze č. 1 této Smlouvy (dále též „Náhradní díly“) a převést na kupujícího vlastnické právo k Vozidlu a Náhradním dílům a kupující se zavazuje zaplatit prodávajícímu za Vozidlo a Náhradní díly kupní cenu uvedenou v článku II. této Smlouvy.
II.
Kupní cena
Smluvní strany se dohodly, že kupující zaplatí prodávajícímu za Náhradní díly kupní cenu ve výši 15.000,- EUR (slovy: patnáct tisíc euro) a za Vozidlo kupní cenu ve výši 145.000,- EUR (slovy: jedno sto čtyřicet pět tisíc euro). Kupující je tak povinen zaplatit prodávajícímu kupní cenu v celkové výši 160.000,- EUR (slovy: jedno sto šedesát tisíc euro).
III.
Dodání a převzetí Vozidla a Náhradních dílů
Kupující podpisem této Smlouvy stvrzuje, že převzal od prodávajícího Vozidlo a Náhradní díly.
Kupující dále prohlašuje, že je mu velmi dobře znám technický stav Vozidla i všech Náhradních dílů a Vozidlo včetně Náhradních dílů rovněž splňuje veškeré požadavky kupujícího.
Kupující přijímá od prodávajícího Vozidlo a veškeré Náhradní díly tak jak stojí a leží.
IV.
Závěrečná ustanovení
1. Tato Smlouva může být měněna pouze dohodou smluvních stran v písemné formě.
2. Otázka platnosti této Smlouvy, veškeré (jakékoliv) nároky (pohledávky), které vzniknou na základě nebo v souvislosti s touto Smlouvou se budou řídit výlučně právním řádem České republiky, a to zejména zákonem č. 513/1991 Sb., obchodním zákoníkem, ve znění pozdějších předpisů.
3. Všechny spory, které vzniknou z této Smlouvy nebo v souvislosti s ní, budou s vyloučením pravomoci veškerých obecných (či jinak specializovaných) soudů rozhodovány s konečnou platností u Rozhodčího soudu při Hospodářské komoře České republiky a Agrární komoře České republiky podle jeho Řádu třemi rozhodci ustanovenými podle tohoto Řádu. Smluvní strany se zavazují splnit všechny povinnosti uložené jim v rozhodčím nálezu ve lhůtách v něm uvedených.
4. Tato Smlouva je vyhotovena ve dvou stejnopisech, přičemž každá ze smluvních stran obdrží po jednom z nich.
5. Každá ze smluvních stran prohlašuje, že tuto Smlouvu uzavírá svobodně, vážně
a nikoli v tísni za nápadně nevýhodných podmínek, že považuje obsah této Smlouvy za určitý a srozumitelný a že jsou jí známy všechny skutečnosti, jež jsou pro uzavření této Smlouvy rozhodující.

The Buyer and the Seller are hereinafter jointly also referred to as the “Parties.”
I.
Subject of the Agreement
The Seller hereby agrees to supply the Buyer with a motor vehicle of the Porsche 911 GT3 RSR, VIN: WP0ZZZ11Z8S735541 make (hereinafter also referred to as the “Vehicle”) and spare parts for the Vehicle as specified in detail in Annex No. 1 hereto (hereinafter also referred to as the “Spare Parts”) and to transfer the title of the Vehicle and the Spare Parts to the Buyer, and the Buyer agrees to pay the Seller the purchase price specified in Article II. herein for the Vehicle and the Spare Parts.
II.
Purchase Price
The Parties have agreed that the Buyer shall pay the Seller the purchase price equaling EUR 15,000 (in words: fifteen thousand Euros) for the Spare Parts and the purchase price equaling EUR 145,000 (in words: one hundred and forty-five thousand Euros) for the Vehicle. The Buyer is thus obliged to pay the Seller the total purchase price equaling EUR 160,000 (in words: one hundred and sixty thousand Euros).
III.
Handover and Takeover of the Vehicle and the Spare Parts
By execution of this Agreement, the Buyer confirms that he has accepted the Vehicle and the Spare Parts from the Seller.
The Buyer further declares that he is well informed about the technical condition of the Vehicle and all the Spare Parts, and the Vehicle including the Spare Parts also fulfils all the requirements of the Buyer.
The Buyer accepts from the Seller the Vehicle and all the Spare Parts tel quel.
IV.
Final Provisions
1. This Agreement may be amended only by mutual agreement of the Parties in writing.
2. The issue of validity of this Agreement and all (any) claims (receivables) arising out of or in connection with this Agreement shall be governed exclusively by the laws of the Czech Republic, in particular by Act No. 513/1991 Coll., the Commercial Code, as amended.
3. Any and all disputes arising out of or in connection with this Agreement shall be finally resolved, to the exclusion of the jurisdiction of all common (or otherwise specified) courts, by the Arbitration Court attached to the Economic Chamber of the Czech Republic and the Agricultural Chamber of the Czech Republic pursuant to its Rules and Principles by three arbitrators appointed pursuant to these Rules and Principles. The Parties agree to fulfill all the obligations imposed upon them in the arbitration award within the deadlines stated therein.
4. This Agreement has been drawn up in two counterparts, of which each Party shall obtain one counterpart.
5. Both Parties declare that they execute this Agreement as a free act and deed and not under duress and conspicuously disadvantageous conditions, that the content of this Agreement is considered by both Parties to be definite and comprehensible, and that they are aware of all facts crucial for execution of this Agreement.

Obchodně právní odpovědnost za škodu je v rámci českého práva oproti občanskoprávní odpovědnosti konstruována jako odpovědnost objektivní, čímž je myšlena odpovědnost bez zavinění jako jednoho z předpokladů jejího vzniku. Tím se obě úpravy zásadně liší. Vyjádřena je tím odlišná povaha subjektů (a nároky na ně kladené), které by pod ten který právní režim měly spadat. Požadavek profesionality podnikatele a obecně nižší potřeba ingerence do přísných pravidel důsledků porušení povinností odůvodňuje striktnější - objektivní přístup k náhradě škody.
Obchodně právní úprava odpovědnosti za škodu je provedena v ustanoveních § 373 -386 zákona č. 513/1991 Sb., obchodní zákoník, ve znění pozdějších předpisů (dále jen „Obchodní zákoník“). Pro obchodní závazkové vztahy je úpravou obecnou a ve vztahu k odpovědnosti občanskoprávní je však regulací speciální. Jsou v ní obsaženy předpoklady vzniku odpovědnosti (viz podrobný výklad níže), stanoven rozsah a způsob hrazení škody a také případy, ve kterých se škoda nehradí či je její rozsah přímo ze zákona omezen.
Tuto obecnou úpravu pak doplňuje ještě celá řada speciálních ustanovení Obchodního zákoníku, která se uplatní ve zvláštních případech ve vazbě na jednotlivé smluvní typy. V konkrétních případech budou mít tedy jako lex specialis přednost před úpravou obecnou a nelze na ně zapomínat ani při zvažování případné limitace náhrady škody. Mimo oblast závazkových vztahů pak speciální úpravu odpovědnosti za škodu nalézáme tak v ustanoveních Obchodního zákoníku vztahujících se k právu obchodních společností (např. § 194, § 65, § 66, § 66a, § 181 Obchodního zákoníku), ve firemním právu (§ 12 Obchodního zákoníku) či v právu nekalé soutěže (§ 53 Obchodního zákoníku). Objektivní princip odpovědnosti bez jakýchkoliv výjimek by ovšem i v obchodním právu sám o sobě působil přeci jenom příliš tvrdě. Je proto „změkčen“ existencí okolností vylučujících odpovědnost i požadavkem předvídatelnosti škody (viz podrobně níže). Co se týče způsobu, kterým se škoda v českém obchodním právu hradí, je v Obchodním zákoníku (ostatně stejně jako v zákoníku občanském) priorita přisouzena náhradě v penězích, která je též ve většině případů také variantou stranami preferovanou. Lze si ovšem z pohledu poškozeného vynutit (a postačí k tomu jednostranný právní úkon v podobě požádání o takový způsob náhrady) i uvedení v předešlý stav, přičemž takový způsob musí v konkrétním případě být možný a obvyklý. Ustanovení Obchodního zákoníku je v daném ohledu ovšem dispozitivní, čili nic nebrání stranám dát přednost úpravě občanskoprávní či sjednat z hlediska způsobu náhrady škody uspořádání zcela jiné, vyhovující lépe specifickým okolnostem vztahu smluvních stran.
Překlad - angličtina On the legal bases and background related to the issue of damages and possibilities of contractual limitation of damages pursuant to the laws of the Czech Republic
Commercial-law liability for damage is conceived, within the scope of the Czech laws, in contrast to civil liability, as strict liability, meaning liability without culpability as one of its preconditions. In this respect, there is a principal difference between the two regulations. This represents the different character of entities (and requirements imposed on them) which should be subject to the corresponding legislative regime. A stricter – objective approach towards damages is justified by the requirement for enterpreneur’s professionalism and a generally lower need to intervene in the strict rules of the consequences resulting from breach of obligations.
Commercial-law regulation of liability for damage is implemented in the provisions of Sections 373 – 386 of Act No. 513/1991 Coll., the Commercial Code, as amended (hereinafter referred to as the “Commercial Code”). In terms of commercial contractual obligations, it is considered to be a general regulation; however, in relationship to civil liability, it is considered to be a special regulation. It includes the preconditions of liability (see the detailed description below) and stipulates the amount and manner of compensation for damages and also cases in which damages are not compensated or their amount is limited directly by law.
This general regulation is then supplemented by a number of special provisions of the Commercial Code, which apply in special cases in relation to the individual types of contracts. Thus, in particular cases, they will, as lex specialis, take precedence over the general regulation and cannot be neglected even while deliberating potential limitation of damages. In addition to the field of contractual relationships, a special regulation of liability for damage can also be found in the Commercial Code provisions related to corporate law (e.g. Sections 194, 65, 66, 66a, and 181 of the Commercial Code), in law governing business names (Section 12 of the Commercial Code), or unfair competition law (Section 53 of the Commercial Code). Indeed, even in commercial law, the strict principle of liability without any exceptions would, as such, be too harsh. Therefore, it is “softened” by the existence of circumstances excluding liability and the requirement for predictability of damage (see in detail below). As for the way in which damages are paid in Czech commercial law, in the Commercial Code (as well as in the Civil Code), the priority is given to compensation in money, which is also, in the majority of cases, the option preferred by the parties. From the perspective of the injured party, it is also possible to enforce (a unilateral legal act in the form of a claim for this kind of compensation is sufficient) a restitution, but this kind of compensation must be possible and usual in the particular case. However, the provision of the Commercial Code is not mandatory in this respect; therefore, the parties are free to prefer the civil regulation or agree, in terms of the kind of damages, on a completely different arrangement which better accommodates the specific circumstances of the relationship between the parties.

In response to your request for brief explanation of bankruptcy proceedings in Poland please be advised as follows.
In Poland bankruptcy (insolvency) proceedings are regulated under the Act of 28 February 2003 on bankruptcy and rehabilitation law (J.L 2003, no. 60, item 535, as amended) (the Act).
Pursuant to the Act there are two types of these proceedings:
I. proceedings open to arrangement with creditors (in Polish: "upadlosc z mozliwoscia zawarcia ukladu")
II. proceedings aiming to liquidation of a bankrupt company (in Polish: "upadlosc obejmujaca likwidacje".
It should be emphasized that under Polish law there is only one word (introduced by the legislator) for these kind of proceedings, that is "upadlosc", which is translated into English interchangeably as insolvency or bankruptcy (also used "postepowanie upadlosciowe", which is translated into English interchangeably as insolvency proceedings or bankruptcy proceedings).
As follows from the decision of the District Court in Bydgoszcz dated 28 June 2010 declaring the bankruptcy (insolvency) of the company Alfa, these are proceedings open to arrangement with creditors ("upadtosc z mozliwoscia^ zawarcia ukladu") and they are not aiming to winding-up the company.
Please also note that both types of bankruptcy (insolvency) proceedings are listed in Appendix A of the Council Regulation no. 1346/2000 on insolvency proceedings (the Regulation) and "upadtosc obejmujaca likwidacje' (proceedings aiming to liquidation of a bankrupt company) is listed in Appendix B as "winding-up proceedings" in the meaning of Article 2 (c) of the Regulation. As follows from the above mentioned decision of the District Court in Bydgoszcz dated 28 June 2010, the proceedings concerning the company Alfa are not a type of “winding-up proceedings".

na základě Vaší žádosti o stručné vysvětlení úpadkového řízení v Polsku Vám zasílám následující informace.
V Polsku upravuje úpadkové (insolvenční) řízení Zákon o konkursu a rehabilitaci vydaný 28. února 2003 (J.L. 2003, č.60, bod 535, v platném znění) (dále jen Zákon).
Na základě tohoto Zákona existují dva druhy tohoto řízení:
I. řízení umožňující ujednání s věřiteli (polsky:“upadlosc z mozliwoscia zawarcia ukladu“)
II. řízení směřující k likvidaci společnosti, jež je v úpadku (polsky:“upadlosc obejmujaca likwidacje“)
Je nutné zdůraznit, že podle polského práva existuje pro tento druh řízení pouze jedno slovo, které zákonodárce zavedl, a sice „ upadlosc“ (konkurs), které se do angličtiny překládá těmito dvěma navzájem zaměnitelnými výrazy: „insolvency“ nebo „bankruptcy“ (v češtině „insolvence“ nebo „úpadek“ – pozn. překl.) (také se používá slovní spojení „postepowanie upadlosciowe“ (konkursní řízení), které se do angličtiny překládá těmito dvěma navzájem zaměnitelnými výrazy: „insolvency proceedings“ nebo „bankruptcy proceedings“).(v češtině " insolvenční řízení" nebo "úpadkové řízení" - pozn. překl.)).
Jak vyplývá z rozhodnutí Okresního soudu v Bydgoszczi ze dne 28. června 2010, kterým byl vyhlášen úpadek společnosti Alfa, jedná se o řízení umožňující ujednání s věřiteli („upadlosc z mozliwoscia zawarcia ukladu“), které nesměřuje k likvidaci společnosti.
Připomínáme také, že oba druhy konkursního (insolvenčního) řízení jsou uvedeny v příloze A nařízení Rady č. 1346/2000 o úpadkovém řízení (dále jen nařízení) a „upadlosc obejmujaca likwidacje“ (řízení směřující k likvidaci společnosti, jež je v úpadku) je uvedeno v příloze B jako „ likvidační řízení“ ve smyslu článku odst. 2 písm. c) nařízení. Jak vyplývá z výše zmíněného rozhodnutí Okresního soudu v Bydgoszcz ze dne 28. června 2010, řízení týkající se společnosti Alfa není druhem „likvidačního řízení.“
