Zdrojový text - arabština The Shares have not been and will not be registered under the United States Securities Act of 1933, as amended (“Securities Act”), and the Fund has not been registered as an investment company under the United States Investment Company Act of 1940, as amended. Accordingly, the Shares may not be offered, sold or delivered, directly or indirectly, in the United States or to any US Person, as defined below, except to a US Person which is a discretionary account or similar account (other than an estate or trust) held for the benefit or account of a person who is not a US Person by a dealer or other professional fiduciary organised, incorporated or (if an individual) resident in the United States, in each case in accordance with the provisions of Regulation S under the Securities Act. The term “United States” means the United States of America (including the States and the District of Columbia), its territories, it possessions and other areas subject to its jurisdiction. The term “US Person” means (i) any citizen or resident of the United States, or any corporation or partnership chartered or organised under the laws of any jurisdiction in the United States or any trust or other entity chartered or organised under the laws of any jurisdiction in the United States or that is subject to United States Federal income tax on its worldwide net income regardless of source and/or (ii) any “US Person” as defined in Rule 902(o) of Regulation S under the Securities Act.
The Fund has been registered as a mutual fund pursuant to Section 4(3) of the Mutual Funds Law (2003 Revision) of the Cayman Islands with the Monetary Authority of the Cayman Islands (the “Monetary Authority”). Such registration was effected by filing with the Monetary Authority the prescribed details in respect of this Memorandum and by paying the prescribed registration fee. Such registration does not imply that the Monetary Authority or any other regulatory authority in the Cayman Islands has passed upon or approved this Memorandum or the Offering of Shares hereunder nor is it intended that they will.
The Fund is prohibited from making any invitation to the public of the Cayman Islands to subscribe for the Shares. Non resident or exempted companies or other such non-resident or exempted entities established in the Cayman Islands, however, may subscribe.
The Directors of the Fund are the persons responsible for the information contained in this Memorandum. To the best of the knowledge and belief of the Directors (who have taken all reasonable care to ensure that such is the case) the information contained herein is in accordance with the facts and does not omit anything likely to affect the import of such information.

Zdrojový text - arabština The instrument of transfer of any Share or fraction of a Share shall be executed by or on behalf of the transferor and, if so required by the Board of Directors, shall also be executed by or on behalf of the transferee, and the name of the transferee shall, subject to any provisions herein to the contrary, be entered in the Register of Members in respect thereof. In the case of a Share registered in the joint names of two or more Members ("Joint Holders"), unless the Joint Holders have delivered to the Company an instrument in writing, executed by each of them, expressly referring to this article and stating that this article shall not apply to the Share registered in their names, any one Joint Holder shall have power to execute an instrument of transfer for and on behalf of himself and all Joint Holders, and each Joint Holder of a Share shall be the attorney-in-fact for the other Joint Holder of a Share with full power and authority to do and perform all and every act and thing whatsoever with respect to the Shares jointly held.
