Source text - English When my wife told me she was pregnant, I got that stomach-churning sensation that hits you on a plunging roller coaster. I was excited, yes, but... oh my God. Parenting was for, well, parents.
So here I stand, bug-eyed and sweating buckets like some poorly-drawn cartoon character, the question marks floating in the air around my head while I try to prepare myself for the complete care and responsibility of another living being besides my cat. I'm responsible for making sure this little human doesn't grow up and turn into a complete monster. If the child turns out a social moron-- my fault. If the babe can't find Luxembourg on the map, blame me for not providing a better education. They'll need therapy, and of course that will be on my head too. So many opportunities for wrong turns!
I remember the day my father sat me down and awkwardly told me about the birds and the bees; it was perhaps the most excruciating and embarrassing half hour of both our lives. I can't do that to another human being.
Maybe I'm getting a little ahead of myself here. I can do this, I say; I'll be a great father. My child will be reared a well-rounded, educated, upstanding citizen of the world, and he or she won't hate me.

Je m’avance peut-être un peu, là. J’y arriverai, que diable. Je serai un père formidable. Mon enfant sera élevé comme un citoyen du monde achevé, bien éduqué, droit, et il ou elle ne finira pas par me détester.

In addition to its other obligations under this Agreement, Contractor hereby agrees to defend, indemnify and hold harmless Customer and its Affiliates and their respective directors, officers, employees, successors, and assigns (collectively, the “Customer Indemnitees”), with respect to any and all liabilities, claims, causes of action, assessments, damages, losses, fines, penalties and expenses (including reasonable attorneys’, professional, and expert witness fees and expenses) (collectively, “Losses”) sustained or incurred by any Customer Indemnitee resulting from, arising out of, or related to (i) injury to or death of, or property damage sustained by, a Contractor Indemnitee (as defined below) while he or she is at a Site (including use of a repair facility), except to the extent that the injury to, death of, or property damage sustained by such person is attributable to the negligent acts or omissions or willful misconduct of Customer or any of its affiliates or their respective employees, agents or subcontractors; (ii) any damage, deterioration or destruction to any Unit or a repair facility to the extent attributable to the negligent acts or omissions or willful misconduct of Contractor or any of its affiliates or their respective employees, agents or subcontractors; (iii) any failure by any Contractor Indemnitee to comply with any Law in any material respect relating to or connected with the Services; (iv) contamination of a Site to the extent such contamination violates applicable Laws and is caused solely by the release of a hazardous substance by Contractor or any of its affiliates or their respective employees, agents or subcontractors during the Term (except to the extent caused by any inaccurate, incomplete or misleading Information or caused by the failure of Customer to furnish Information on a timely basis).

As a global company, XXXX is subject to many laws and regulations governing companies who operate internationally. In addition, XXXX has a responsibility to our shareholders, employees, customers and communities to conduct our business consistent with the highest standards of ethics. In particular, XXXX is dedicated to conducting its business in compliance with all applicable anti-corruption laws, including the United States Foreign Corrupt Practices Act (“FCPA”). These laws prohibit bribes and other corrupt payments made in an effort to secure a business advantage.
We take our obligations under the various global anti-corruption laws seriously and expect that our officers, employees, and business partners do the same. XXXX is committed to conducting its business in compliance with (a) the laws and regulations of the United States, particularly the provisions of the Foreign Corrupt Practices Act (“FCPA”); (b) the laws and regulations of each foreign country in which the Company operates or is looking to operate; and (c) our Code of Ethics and Corporate Conduct.
The provisions of this policy will apply to all directors, officers and employees of XXXX and its subsidiaries worldwide. In addition, we will require independent third parties who represent the Company (such as agents, consultants, independent contractors, vendors, sales representatives, distributors and brokers) to conduct themselves in a manner consistent with this Policy. Although this Policy focuses on the various provisions of the FCPA, many countries around the world have similar laws that govern our business operations. For additional information on the local laws applicable to the location(s) where you work, please contact the Corporate Compliance Officer.
Failure to comply with this Policy may result in significant civil and criminal penalties for XXXX and for the individuals involved, and any such failure is cause for disciplinary action against such individuals, up to and including termination of the individuals’ relationship with XXXX.
Summary of Key FCPA Provisions
The Foreign Corrupt Practices Act is a United States federal law: (i) prohibiting payment of bribes (broadly defined) to foreign officials, and (ii) requiring companies to keep accurate books and records. All employees and third parties performing work on XXXX’s behalf should remain vigilant in watching for, avoiding and reporting to the Compliance Department any questionable transactions.
1. Anti-Bribery Provisions
A. Prohibition of Bribery - Under the FCPA’s anti-bribery provisions, XXXX and its officers, employees and agents are prohibited from giving, offering, or promising anything of value to any foreign (non-U.S.) official, with the intent to obtain or retain business or any other advantage.
This prohibition should be interpreted broadly. The following concepts are essential to understanding the scope of the prohibition:
(1) Companies may be held liable for violating the anti-bribery provisions of the FCPA whether or not they took any action in the U.S. Thus, a U.S. company can be liable for the conduct of its overseas employees or agents, even if no money was transferred from the U.S. and no U.S. person participated in any way in the foreign bribery.
(2) A “foreign official” means any officer or employee of a foreign government, regardless of rank, employees (at any level) of government-owned or government-controlled businesses, foreign political parties, party officials, candidates for political office, and employees of public international organizations (such as the United Nations or World Bank), or the relative of any such person described above. This can include customers and their employees where the customer is a state-owned or state-controlled business.
(3) “Giving, offering or promising” includes direct and indirect payments, gifts, offers, or promises. Even if the improper payment is not consummated, just offering it violates the FCPA. Likewise, instructing, authorizing, or allowing a third party to make a prohibited payment on the Company’s behalf, ratifying a payment after the fact, or making a payment to a third party knowing or having reason to know that it will likely be given to a government official constitute FCPA violations.
(4) “Anything of value” includes not only cash and cash equivalents, but also gifts, entertainment, travel expenses, accommodations, and anything else of tangible or intangible value, including a charitable contribution or an offer of employment.
(5) “To obtain business or any advantage” includes for example a reduction in taxes, a favorable change in regulations, tolerance of non-compliance with local rules such as customs or building permit regulations, or other favors or preferential treatment. The business to be obtained or retained does not need to be with a foreign government or foreign government instrumentality.
