This AGREEMENT, made on the date hereinafter mentioned, between the party or parties herein designated as SELLER and the party or parties herein designated as PURCHASER WITNES SETH, as follows:
1. SELLER agrees to sell and convey and PURCHASER agrees to purchase premises as herein described under all terms and conditions stated herein.
2. SELLER shall convey said premises to PURCHASER by BARGAIN and SALE DEED in proper form for record, which deed shall include the covenant required by subdivision 5, section 13 of the. Lien Law. The said deed shall be prepared, duly executed and acknowledged by SELLER and have transfer tax stamps in the proper amount affixed thereto, all at SELLER'S expense, so as to convey to PURCHASER the fee simple of said premises free and clear of all liens and encumbrances, except as herein stated.
3. SELLER shall convey said premises subject to all covenants, conditions, restrictions and easements of record and zoning laws. Subject also to any statement of facts which an inspection and/or an accurate survey of the premises may show provided the same does not render title unmarketable. Subject also to existing tenancies, if any, and to unpaid installments of street and improvement assessments payable after the date of transfer of title.
4. SELLER may pay and discharge any liens and encumbrances, specifically including SELLER'S mortgage on the premises, not provided for herein out of the moneys to be paid by PURCHASER on the transfer of title.
5. This agreement is contingent upon PURCHASER securing a mortgage loan. The PURCHASER agrees to make immediate application, through the office of the BROKER, for a mortgage loan in the amount of ………………on what is commonly known as a conventional…………. year direct reduction plan with interest per annum at the thon prevailing rate. Either party hereto reserves the right to void this agreement by five days' written notice to the other party if the mortgage loan has not been arranged by…………….
Pending the disposition of said application, all moneys paid hereunder shall be held in the trust account of the SELLER'S ATTORNEY to be paid to the SELLER when mortgage contingency is met or waived, or returned to the PURCHASER if this agreement is voided as herein provided.
6. All rentals, taxes and interest shall be adjusted pro-rata to the day of transfer. If SELLER has already made or shall have made before the time of closing any payments in advance on account of insurance and/or taxes and water rents payable after closing to a mortgagee whose mortgage is to remain on the premises PURCHASER is to reimburse SELLER for the total of these payments, in cash at the time of closing.
7. If on the date of transfer of title, there is any fuel in the premises belonging to the SELLER, PURCHASER shall buy the same by paying the SELLER a sum equal to the market value thereof. Plumbing, heating and lighting fixtures, ranges, built-in bathroom and kitchen cabinets and built-in kitchen appliances, venetian blinds, shades, storm windows and screens, storm and screen doors, awnings, pumps, shrubbery and television aerials, if now in or on said premises, are represented to be owned by SELLER, free from all liens and encumbrances, and are included in the sale price together with the following items:
8. The buildings on the premises herein described are hereby sold "as is," without warranty as to condition, express or implied, and a conveyance thereof hereunder shall be made in their condition on the date of transfer of title, except that in case of any destruction within the meaning of the provisions of Section 5.1311 of the General Obligations Law of the State of New York entitled “Uniform Vendor and Purchaser Risk Act," said section shall apply to this Contract.
9. In the event SELLER is unable to convey title in accordance with the terms of this agreement, SELLER'S sole liability will be to refund the amount paid on account of the purchase price.
10. The PARTIES agree that brought about this sale and SELLER agrees to pay an amount equal to 6% of the selling price as commission for Services to said BROKER.
11. The PURCHASER shall be entitled to possession of the premises and the rents, issues and profits, if any, thereof, immediately upon closing of title and delivery of deed.
12. This agreement is entered into upon knowledge of the parties as to the value of the land and whatever buildings are upon the same and not on any representations made as to character or quality.
13. PURCHASER represents that he has sufficient cash available (together with the mortgage referred to herein) to consummate this transaction.
14. This instrument contains all agreements of the parties hereto. There are no promises, agreements, terms, conditions, warranties, representations, or statements other than contained herein. There may be no modification or amendment of this agreement except in writing executed by the parties hereto. This contract, or any part thereof, shall not be assigned without prior written consent of the SELLER and BROKER herein.

Translation - Spanish Contrato de compra-venta de bienes inmuebles
El presente CONTRATO DE COMPRAVENTA, celebrado en la fecha que se menciona a continuación, entre la/s partes en la presente denominada/s como VENDEDOR y la/s partes denominada/s como COMPRADOR, da fe de que:
1. EL VENDEDOR se compromete a vender y transferir y el COMPRADOR se compromete a comprar el bien inmueble que se describe de acuerdo con todas las cláusulas y condiciones que se establecen a continuación.
2. El VENDEDOR le transferirá dicho inmueble al COMPRADOR mediante bargain and sale deed de la forma apropiada para su inscripción en el registro, que incluirá la cláusula exigida por la subdivisión 5, artículo 13, de la «Lien Law» [Ley de Gravámenes]. Sujeto a locaciones existentes, si las hubiera, y a las cuotas impagas de los impuestos en concepto de pavimentación y mejoras a pagar luego de la fecha de transferencia de dominio.
4. El VENDEDOR puede pagar y eximir cualquier carga y gravamen, incluyendo específicamente la hipoteca del VENDEDOR sobre el inmueble, que no se encontraren indicados en el presente, deduciéndolo de la suma que deberá pagar el COMPRADOR al momento de la transferencia del dominio.
5. Este contrato está sujeto a que el COMPRADOR obtenga un préstamo hipotecario. El COMPRADOR se compromete a realizar el trámite de solicitud de inmediato, por medio de la oficina del AGENTE INMOBILIARIO, de un préstamo hipotecario por la cantidad de [aparece un espacio en blanco] sobre lo que, por lo general, se denomina plan convencional de reducción directa a [aparece un espacio en blanco] años con interés anual a la tasa vigente en ese momento. 8. Las construcciones descritas que se encuentren en el bien inmueble se venden por el presente "en el estado en que se encuentran", sin garantía alguna en cuanto a la condición, expresa o implícita, y se realizará una transferencia de los mismos en su condición en la fecha de transferencia de dominio, excepto que en el caso de cualquier daño en el sentido de las disposiciones de la Sección 5-1311 de la «General Obligations Law» [Ley de Obligaciones Generales] del estado de Nueva York, titulada «Uniform Vendor and Purchaser Risk Act» [Ley uniforme de los riesgos asumidos por el vendedor y el comprador], dicha sección se aplicará a este Contrato.

12. Este contrato se celebra con el consentimiento de las partes en cuanto al valor del terreno y cualquier construcción que se encuentre en el mismo, y no sobre las representaciones hechas en cuanto a su estructura o calidad.
13. EL COMPRADOR declara que posee suficiente dinero en efectivo disponible (junto con la hipoteca a la que se hace referencia en este documento) para consumar esta operación.
14. Este instrumento contiene todos los acuerdos de las partes. No existen otras promesas, acuerdos, cláusulas, condiciones, garantías, representaciones o declaraciones que las contenidas en este documento. No podrá haber ninguna modificación o corrección de este contrato excepto por escrito ejecutado por las partes del mismo. Este contrato, o cualquier parte del mismo, no se cederá sin el consentimiento previo por escrito del VENDEDOR y el AGENTE INMOBILIARIO en este documento.
